1. Acceptance of Terms

By accessing or using the HealthHaven.ai platform ("Platform"), including any websites, mobile applications, APIs, or services operated by HealthHaven, Inc. ("HealthHaven," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and HealthHaven. We may update these Terms at any time, and your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to create an account and use our Platform. By using the Platform, you represent and warrant that you are at least 18, that you have the legal capacity to enter into these Terms, and that all information you provide is truthful and accurate. If you are booking on behalf of another individual (e.g., a patient or family member), you represent that you have the authority to act on their behalf and agree to these Terms on their behalf.

3. Description of Service

HealthHaven operates an online marketplace that connects guests, caregivers, and medical travelers with property partners who offer recovery-focused lodging near hospitals and medical centers. Our services include lodging search, match ranking, booking tools, in-stay commerce features, documentation support, and optional referral or partner workflows where available under written terms. HealthHaven does not own, operate, or manage the listed properties. We act as an intermediary platform facilitating connections between guests and property partners.

HealthHaven is not a healthcare provider and the Platform is not an emergency, clinical, diagnosis, treatment, or care-management service. Do not use the Platform to request emergency medical help. Avoid submitting diagnosis, treatment, medication, or other clinical details unless the field specifically asks for information needed to arrange lodging or partner coordination.

4. User Accounts

To access certain features, you must create a HealthHaven account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

5. Bookings and Reservations

When you make a booking through HealthHaven:

  • You enter into a direct agreement with the property partner for the lodging stay.
  • HealthHaven facilitates the transaction but is not a party to the lodging agreement between you and the property partner.
  • All bookings are subject to the property partner's availability, house rules, and cancellation policy as displayed at the time of booking.
  • You agree to comply with all applicable property rules, local laws, and regulations during your stay.
  • HealthHaven reserves the right to cancel bookings that appear fraudulent, violate our policies, or present safety concerns.

6. Cancellations and Refunds

Cancellation policies vary by property and are clearly displayed before you confirm a booking. General guidelines:

  • Guest Cancellations: Refund eligibility depends on the property's cancellation policy and how far in advance the cancellation is made.
  • Medical Emergency Cancellations: We offer enhanced flexibility for cancellations due to documented medical emergencies. Contact our support team with relevant documentation.
  • Property Partner Cancellations: If a property partner cancels your reservation, HealthHaven will assist in finding comparable alternative lodging or provide a full refund.
  • HealthHaven Service Fees: Service fees may be refundable depending on the timing and reason for cancellation, as specified in the booking details.

7. Payments and Fees

All payments are processed through our secure, PCI-DSS-compliant payment infrastructure.

  • Guest Fees: Guests pay the nightly rate set by the property partner plus applicable HealthHaven service fees, taxes, and any optional add-on services.
  • Payment Timing: Full payment is collected at the time of booking unless a separate written payer, sponsor, or assistance-program agreement states otherwise and any required pre-approval is recorded.
  • Currency: All transactions are processed in US dollars (USD) unless otherwise specified.
  • Taxes: Applicable taxes (including lodging taxes and local surcharges) are calculated and collected as required by law.
  • Insurance and Payer Support: Unless a separate written pilot agreement states otherwise, HealthHaven does not verify benefits, adjudicate claims, guarantee reimbursement, or directly bill payers. Pre-approval means a payer, sponsor, or assistance program has documented eligibility for a specific lodging request; it is not a guarantee of final payment unless the written program terms say so. Guests are responsible for any amounts not covered by a payer, sponsor, or assistance program.

8. Property Partner Obligations

Property partners who list on HealthHaven agree to:

  • Provide accurate descriptions, photos, and availability for their properties.
  • Maintain properties in safe, clean, and habitable condition meeting HealthHaven's recovery-lodging standards.
  • Comply with all applicable local, state, and federal laws, including fair housing, accessibility, and short-term rental regulations.
  • Honor confirmed reservations and communicate promptly with guests.
  • Not discriminate against guests based on race, religion, national origin, disability, sex, gender identity, sexual orientation, or any other protected characteristic.

9. Search, Ranking, and Matching Features

Our Platform may use software-assisted ranking and matching to suggest recovery lodging based on factors including proximity to a care location, accessibility features, stay preferences, and property amenities. Suggestions are informational only and do not constitute medical advice, endorsement, or guarantee of suitability. You are responsible for verifying that a property meets your specific needs before booking.

10. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms.
  • Provide false, misleading, or fraudulent information.
  • Attempt to circumvent HealthHaven's payment system by arranging direct payments with property partners.
  • Harass, threaten, or discriminate against any user, property partner, or HealthHaven employee.
  • Scrape, crawl, or use automated means to access the Platform without our written consent.
  • Upload or transmit viruses, malware, or other harmful content.
  • Infringe on the intellectual property rights of HealthHaven or third parties.
  • Use a property for purposes other than recovery lodging (e.g., events, subletting).
  • Reverse engineer, decompile, or disassemble any part of the Platform.

11. Intellectual Property

The Platform, including its design, text, graphics, logos, icons, images, audio clips, software, and ranking logic, is the property of HealthHaven, Inc. and is protected by United States and international copyright, trademark, and other intellectual property laws. "HealthHaven," the HealthHaven logo, and "HealthHaven.ai" are trademarks of HealthHaven, Inc. You may not use our trademarks without prior written consent. User-generated content (reviews, photos, messages) remains your property, but you grant HealthHaven a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating the Platform.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHHAVEN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • HealthHaven does not guarantee the quality, safety, or legality of listed properties.
  • HealthHaven does not provide medical advice. Our software-assisted matching features are informational only.
  • HealthHaven is not responsible for the actions or omissions of property partners, guests, or third parties.
  • We do not guarantee uninterrupted or error-free access to the Platform.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALTHHAVEN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL HEALTHHAVEN'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO HEALTHHAVEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless HealthHaven, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your interaction with any property partner or other user, or your violation of any law or the rights of a third party.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, unless you opt out within 30 days of account creation by emailing legal@healthhaven.ai.

  • You and HealthHaven each waive the right to a jury trial.
  • You and HealthHaven each waive the right to participate in a class action or class-wide arbitration.
  • Small claims court actions (within jurisdictional limits) are exempt from this arbitration agreement.
  • The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

17. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HealthHaven.
